Terms of Service & Engagement

1. Acceptance of Terms

By accessing this website, submitting an inquiry, or engaging Codekart Solutions Pvt. Ltd. ("Codekart", "we", "our") for professional services, you agree to be governed by these Terms of Service in conjunction with any Master Services Agreement (MSA) or Statement of Work (SOW) executed between the parties.

2. Professional Services & Statements of Work

All engineering delivery, staff augmentation, and technical advisory services are defined through formal Statements of Work outlining milestones, sprint rhythms, acceptance criteria, and financial schedules. Verbal understandings are superseded by written agreements.

3. Intellectual Property Rights

Unless explicitly agreed otherwise in a Statement of Work, all custom software deliverables, user interface designs, custom machine learning models, and architectural blueprints produced specifically for a client become the exclusive intellectual property of the client upon receipt of full payment for the applicable milestone.

Codekart retains ownership of its pre-existing proprietary developer tooling, base libraries, and general methodologies.

4. Limitation of Liability

To the fullest extent permitted by applicable law, neither party shall be liable to the other for consequential, indirect, special, or punitive damages. Total aggregate liability arising out of any specific engagement shall be capped at the fees paid under the applicable Statement of Work in the preceding twelve months.

5. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction resting in the competent courts of Bhubaneswar, Odisha.
